Caroline Pham, Acting Chair of the CFTC, announced the withdrawal of what she described as “outdated guidance” concerning crypto delivery. This move has been recognized for granting exchanges greater flexibility in their operations. Pham stated, “Eliminating outdated and overly complex guidance that penalizes the crypto industry and stifles innovation aligns with this Administration's goals for the year.”

Initially put into effect in March 2020, the guidance outlined when the “actual delivery” of crypto would occur during a commodity transaction. The CFTC noted that it needed to “reevaluate such guidance in light of further developments during the past 5 years.”

Under Pham's leadership, the CFTC is taking a more accommodating stance towards the crypto sector. The decision to withdraw the guidance was based on recommendations from the President's crypto working group, which advocated for clarifying how cryptocurrencies are classified as commodities and elaborating on previous interpretations related to the actual delivery of digital assets.

Enhanced Flexibility for Exchanges

Katherine Kirkpatrick Bos, General Counsel at StarkWare, praised the decision, highlighting that the former guidance complicated the ability for exchanges to offer margin or leverage, as it mandated that actual delivery occur within 28 days.

“This change offers significantly more flexibility for exchanges,” she commented. “However, it’s important to note that this isn’t legislation—it's only guidance, and it can be altered if leadership changes.”

While the CFTC can provide guidance to clarify its legal interpretations and possible enforcement actions, this guidance does not carry the same legal weight as formal regulations.

Garry Krugljakow, who leads Bitcoin strategy at Berlin-based treasury firm aifinyo AG, remarked on social media that this shift indicates significant changes ahead. He believes it signifies a clearer regulatory framework for the CFTC and a path that favors scalability over hesitation.

“Actual delivery made sense in 2020, but it no longer holds in an environment characterized by real custody, collateralization, and Bitcoin-backed credit,” Krugljakow added.

Uncertainties Remain

On the other hand, Todd Phillips, a fellow at the Roosevelt Institute, pointed out that the unclear definition of actual delivery raises important questions. "The definition is crucial as it determines which exchanges must register with the CFTC,” he said. “Currently, we have no indication of how the CFTC interprets actual delivery and which exchanges are required to register.”
